* Website hosting
* Website maintenance
* Lead capture forms
* Contact forms
* Appointment or booking integrations
* CRM integrations
* Automated lead follow-up
* Email notifications
* SMS integrations
* AI-powered website features
* Website chat functionality
* Google review generation systems
* Analytics integrations
* Third-party software integrations
* Domain or DNS configuration assistance
* Ongoing technical support
* Other digital services agreed upon with the client
The exact services included will depend on the package, proposal, invoice, order form, or agreement provided to the client.
## 2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use Fluid Vertex services.
If you are using our services on behalf of a business or other organization, you confirm that you have the authority to enter into this agreement on behalf of that organization.
## 3. Client Information
You agree to provide accurate and complete information when working with Fluid Vertex.
This may include:
* Business name
* Contact information
* Business address
* Services offered
* Website content
* Images
* Logos
* Pricing information
* Business hours
* Phone numbers
* Email addresses
* Domain information
* Social media links
* CRM credentials
* Third-party platform access
You are responsible for ensuring that the information you provide is accurate, lawful, and authorized for use.
Fluid Vertex is not responsible for problems caused by incorrect, incomplete, outdated, or unauthorized information supplied by the client.
## 4. Website Development
Fluid Vertex may design, build, modify, host, or maintain websites for clients.
The design, structure, features, and functionality provided will depend on the client’s selected service.
Minor differences between mockups, demonstrations, templates, and the final website may occur because of differences in browsers, devices, screen sizes, third-party software, technical limitations, or later updates.
Fluid Vertex may use templates, reusable components, frameworks, libraries, plugins, integrations, code, design systems, and other materials that are also used for other clients.
## 5. Client Content
Clients may provide Fluid Vertex with text, logos, photographs, videos, trademarks, graphics, documents, business information, and other materials.
By providing these materials, you confirm that:
1. You own the materials or have permission to use them.
2. Their use does not violate another person’s intellectual property rights.
3. Their use does not violate applicable laws or regulations.
You grant Fluid Vertex permission to use the materials as necessary to provide the requested services.
You remain responsible for the legality and accuracy of the content you provide.
## 6. Content Created by Fluid Vertex
Unless otherwise agreed in writing, website copy, graphics, layouts, custom sections, design work, and other content created specifically for the client may be used by the client while their account and applicable services remain active.
Third-party assets, software, plugins, fonts, templates, stock media, libraries, APIs, and similar materials remain subject to their respective owners’ licenses.
Fluid Vertex retains ownership of its underlying systems, reusable code, frameworks, templates, automation structures, processes, methodologies, internal tools, and other intellectual property that was not created exclusively for a particular client.
## 7. Website Ownership and Transfer
Ownership arrangements may depend on the package purchased.
For subscription-based website services, Fluid Vertex may retain ownership or operational control over the underlying website infrastructure, templates, hosting configuration, software systems, and certain website components while the subscription remains active.
Clients retain ownership of their own business name, trademarks, logos, photographs, original written materials, and other content they provide.
If a client requests website transfer, migration, export, or ownership transfer, additional fees may apply.
Certain components may not be transferable because they rely on Fluid Vertex systems, commercial licenses, third-party platforms, proprietary configurations, or subscription services.
## 8. Domains
Unless explicitly stated otherwise, clients are responsible for maintaining ownership and payment for their domain names.
If Fluid Vertex purchases, manages, or configures a domain on behalf of a client, the client remains responsible for renewal fees and maintaining accurate registration information.
Fluid Vertex is not responsible for domain loss caused by:
* Failed renewal payments
* Incorrect client information
* Registrar actions
* Expired domains
* Client account access issues
* Unauthorized changes by third parties
* Domain disputes
Clients should maintain independent access to important domain accounts whenever possible.
## 9. Hosting
Some Fluid Vertex plans may include website hosting.
Hosting availability may depend on third-party infrastructure providers.
Although Fluid Vertex aims to maintain reliable service, we do not guarantee uninterrupted website availability.
Temporary downtime may occur because of:
* Maintenance
* Hosting provider outages
* Software updates
* Cyberattacks
* DNS issues
* Internet infrastructure failures
* Third-party service failures
* Security incidents
* Events outside our reasonable control
## 10. Maintenance and Updates
If maintenance is included in your plan, Fluid Vertex may perform reasonable updates, technical fixes, backups, security improvements, plugin updates, content changes, and similar work.
The extent of ongoing support depends on your selected service.
Major redesigns, new pages, advanced functionality, custom development, additional integrations, or significant revisions may require additional payment.
## 11. Revisions
Reasonable revisions may be included depending on the client’s plan or project scope.
Fluid Vertex may charge additional fees when requested revisions substantially expand or change the original scope of work.
Examples include:
* Complete redesign requests
* Large numbers of new pages
* New custom functionality
* Significant copywriting requirements
* Additional automation systems
* Complex integrations
* Major changes after approval
## 12. Subscription Services
Some Fluid Vertex services are provided through recurring monthly or annual subscriptions.
By purchasing a recurring service, you authorize Fluid Vertex and its payment processor to charge the payment method associated with your account according to the applicable billing cycle.
Subscriptions generally continue until canceled.
## 13. Billing
You agree to pay all charges associated with the services you purchase.
Prices may include:

* Monthly subscription fees
* Annual subscription fees
* Development fees
* Customization fees

* Additional work requested outside the original scope
Unless otherwise stated, charges are displayed before purchase or communicated through an invoice, proposal, checkout page, or written agreement.
## 14. Automatic Renewal
Recurring subscriptions may automatically renew at the end of each billing period unless canceled before the next billing date.
By subscribing, you authorize recurring charges until the subscription is canceled.
## 15. Failed Payments
If a payment fails, Fluid Vertex may attempt to process the payment again.
If payment remains outstanding, Fluid Vertex may suspend or restrict:
* Website hosting
* Website access
* Automation services
* Integrations
* Maintenance
* Support
* Lead capture functionality
* Other services associated with the account
Services may remain suspended until outstanding amounts are paid.
## 16. Cancellation
Clients may cancel recurring services according to the cancellation method provided by Fluid Vertex.
Unless otherwise agreed, cancellation prevents future recurring charges but does not automatically entitle the client to a refund for previous payments or the current billing period.
Clients are responsible for requesting any required website, content, domain, or data transfers before service termination.
## 17. Refunds
Unless specifically stated otherwise in an offer, agreement, invoice, or refund policy, payments for completed work, setup services, subscriptions already provided, third-party expenses, domain registrations, software licenses, advertising costs, or custom development are generally non-refundable.
Fluid Vertex may issue refunds at its discretion where appropriate.
Any specifically advertised money-back guarantee will be governed by the conditions stated with that offer.
## 18. Third-Party Services
Fluid Vertex may integrate or rely on third-party platforms such as:
* Hosting providers
* Domain registrars
* Payment processors
* CRM platforms
* Email providers
* SMS providers
* Scheduling platforms
* Analytics platforms
* AI providers
* Google services
* Social media services
* Automation platforms
* Website plugins
* APIs
These services are controlled by third parties and may have their own terms, privacy policies, pricing, limitations, and availability.
Fluid Vertex does not control these services and cannot guarantee their continued operation.
A third-party provider may:
* Change its prices
* Modify its API
* Remove functionality
* Suspend an account
* Experience downtime
* Change its terms
* Discontinue a service
Fluid Vertex is not responsible for losses caused by such third-party changes or failures.
## 19. Third-Party Fees
Some functionality may require separate subscriptions, credits, usage fees, phone numbers, API fees, email sending fees, SMS charges, software licenses, or other costs.
Unless specifically included in your Fluid Vertex plan, these costs are the client’s responsibility.
## 20. Lead Generation and Business Results
Fluid Vertex may provide tools designed to help businesses capture, manage, communicate with, or convert leads.
However, Fluid Vertex does not guarantee:
* A specific number of leads
* A specific number of sales
* A specific conversion rate
* Increased revenue
* Increased profit
* Search engine rankings
* Google review volume
* Appointment volume
* Customer acquisition results
* Marketing performance
Business results depend on many factors outside Fluid Vertex’s control.
## 21. Google Reviews and Reputation Tools
Fluid Vertex may provide systems designed to help clients request reviews from customers.
Clients must use these systems responsibly and in accordance with applicable laws and relevant platform policies.
Fluid Vertex does not guarantee that customers will leave reviews or that reviews will be positive.
Fluid Vertex does not control whether Google or another platform displays, removes, filters, or modifies reviews.
## 22. SMS and Email Communications
Some services may allow businesses to communicate with customers or leads through email or SMS.
The client is responsible for ensuring that its use of these systems complies with applicable marketing, privacy, telecommunications, anti-spam, and consent laws.
Clients are responsible for obtaining any legally required consent before sending marketing communications.
Fluid Vertex does not provide legal authorization for a client to contact any individual.
## 23. AI Features
Fluid Vertex may provide AI-powered features including chatbots, website assistants, automated responses, content generation, lead qualification, or similar tools.
Artificial intelligence systems may occasionally generate incomplete, incorrect, outdated, or inappropriate information.
Clients should not rely on AI-generated information for medical, legal, financial, emergency, safety-critical, or other high-risk decisions without appropriate professional review.
Fluid Vertex does not guarantee the accuracy of AI-generated responses.
## 24. Client Responsibility for Automated Systems
Clients are responsible for reviewing and supervising automated communications and systems used in their business.
Fluid Vertex is not responsible for losses resulting from:
* Incorrect automated messages
* Incorrect AI responses
* Customer misunderstandings
* Missed leads
* Failed integrations
* Delayed messages
* Third-party outages
* Incorrect client configuration
* Unauthorized platform changes
## 25. Website Legal Compliance
Unless explicitly included as a separate professional service, Fluid Vertex does not provide legal advice.
Any website policies, disclaimers, terms, privacy notices, cookie notices, accessibility tools, or compliance templates provided by Fluid Vertex are provided for general informational purposes.
Clients are responsible for determining whether their business complies with applicable laws and regulations.
Businesses operating in regulated industries should obtain advice from qualified professionals.
## 26. Privacy
Our collection and use of personal information is also governed by the Fluid Vertex Privacy Policy.
By using our services, you acknowledge that you have reviewed and accepted our Privacy Policy.
## 27. Security
Fluid Vertex may implement reasonable security measures to protect websites and systems.
However, no website, hosting system, server, database, or online service can be guaranteed to be completely secure.
Fluid Vertex does not guarantee that its services will be free from:
* Hacking
* Malware
* Data breaches
* Unauthorized access
* Software vulnerabilities
* Third-party attacks
* Service interruptions
Clients are responsible for protecting their passwords and account credentials.
## 28. Backups
Fluid Vertex may maintain backups for certain services, but clients should not rely exclusively on Fluid Vertex as their only backup system.
Unless expressly guaranteed in writing, Fluid Vertex does not guarantee that every version of a website, database, file, email, or other information can be recovered.
## 29. Prohibited Use
You may not use Fluid Vertex services to:
* Violate applicable laws
* Commit fraud
* Send unlawful spam
* Distribute malware
* Conduct phishing
* Infringe intellectual property rights
* Harass or threaten others
* Collect information unlawfully
* Misrepresent your identity
* Operate deceptive schemes
* Interfere with websites or networks
* Attempt unauthorized access to systems
* Facilitate unlawful activities
Fluid Vertex may suspend or terminate services that appear to violate these requirements.
## 30. Account Security
Clients are responsible for maintaining the confidentiality of usernames, passwords, API keys, authentication codes, and other credentials associated with their accounts.
You must notify Fluid Vertex promptly if you believe an account has been compromised.
## 31. Suspension or Termination
Fluid Vertex may suspend or terminate services if:
* Payments remain unpaid
* The client violates these Terms
* The client uses the service unlawfully
* The client’s activities create security risks
* The client’s activities threaten Fluid Vertex infrastructure
* The client abuses Fluid Vertex staff or systems
* A third-party provider requires suspension
* Continuing service would expose Fluid Vertex to unreasonable legal or operational risk
Where reasonably possible, Fluid Vertex may attempt to notify the client before termination.
## 32. Service Changes
Fluid Vertex may modify, replace, improve, remove, or discontinue features over time.
This may occur because of:
* Technical improvements
* Security requirements
* Third-party platform changes
* Product development
* Business requirements
* Legal requirements
Where practical, Fluid Vertex may provide notice of significant changes affecting paying clients.
## 33. Pricing Changes
Fluid Vertex may change its pricing from time to time.
Existing clients may be notified before significant changes to recurring subscription pricing take effect.
Continued use of the service after the new pricing becomes effective constitutes acceptance of the updated pricing.
## 34. Intellectual Property
The Fluid Vertex name, branding, website, systems, software, designs, documentation, processes, graphics, and proprietary materials may be protected by copyright, trademark, trade secret, and other intellectual property laws.
You may not copy, resell, distribute, reverse engineer, or commercially exploit Fluid Vertex proprietary materials without authorization.
## 35. Portfolio Rights
Unless otherwise agreed in writing or prohibited by confidentiality requirements, Fluid Vertex may identify completed client websites or designs as examples of its work.
This may include displaying the client’s business name, logo, website screenshot, or project description in Fluid Vertex’s portfolio, website, presentations, or marketing materials.
Clients may request confidentiality before publication.
## 36. Confidential Information
Each party may receive confidential business or technical information from the other.
Both parties agree to take reasonable steps to protect confidential information and not disclose it unnecessarily to third parties.
This obligation does not apply to information that:
* Is already publicly available
* Was independently developed
* Was lawfully obtained from another source
* Must be disclosed by law
## 37. No Professional Advice
Fluid Vertex provides digital, technical, marketing, and website-related services.
Unless specifically agreed otherwise, Fluid Vertex does not provide legal, financial, accounting, tax, medical, regulatory, or other professional advice.
Clients should consult appropriate professionals for those matters.
## 38. Disclaimer of Warranties
Services are provided on an “as available” basis to the maximum extent permitted by law.
Fluid Vertex does not guarantee that services will:
* Always be available
* Always operate without errors
* Meet every business objective
* Produce specific financial results
* Be compatible with every third-party system
* Remain unchanged indefinitely
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
## 39. Limitation of Liability
To the maximum extent permitted by applicable law, Fluid Vertex will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use or inability to use our services.
This may include loss of:
* Revenue
* Profits
* Customers
* Leads
* Business opportunities
* Data
* Reputation
* Advertising spend
* Productivity
Where liability cannot legally be excluded, Fluid Vertex’s total liability relating to a claim will generally be limited to the amount paid by the client to Fluid Vertex for the relevant service during the period giving rise to the claim, unless applicable law requires otherwise.
## 40. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Fluid Vertex, its owners, employees, contractors, agents, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:
* Your violation of these Terms
* Your unlawful use of the services
* Content supplied by you
* Your violation of another person’s rights
* Your marketing or communications activities
* Your failure to obtain required consent
* Your misuse of third-party platforms
## 41. Force Majeure
Fluid Vertex will not be responsible for delays or failures caused by circumstances outside its reasonable control.
These may include:
* Natural disasters
* War
* Government actions
* Internet outages
* Power failures
* Cyberattacks
* Labor disruptions
* Hosting failures
* Telecommunications failures
* Third-party platform outages
* Major infrastructure failures
## 42. Relationship Between the Parties
Nothing in these Terms creates an employment, partnership, franchise, joint venture, fiduciary, or agency relationship between Fluid Vertex and the client.
Fluid Vertex operates as an independent service provider.
## 43. Assignment
Clients may not transfer their rights or obligations under these Terms without Fluid Vertex’s written permission.
Fluid Vertex may assign its rights or obligations as part of a restructuring, merger, acquisition, sale of business, or similar transaction, subject to applicable law.
## 44. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to remain effective.
## 45. Waiver
Failure by Fluid Vertex to enforce any provision of these Terms does not constitute a permanent waiver of that provision or any other right.
## 46. Entire Agreement
These Terms, together with any applicable proposal, invoice, order form, service agreement, Privacy Policy, or other written agreement between Fluid Vertex and the client, constitute the agreement governing the services.
Where a separately signed agreement directly conflicts with these Terms, the signed agreement may take priority regarding the conflicting provision.
## 47. Changes to These Terms
Fluid Vertex may update these Terms periodically.
The updated version may be published on the Fluid Vertex website with a revised “Last Updated” date.
Continued use of Fluid Vertex services after updated Terms take effect may constitute acceptance of those updated Terms where permitted by applicable law.
## 48. Governing Law
These Terms will be governed by the laws of the jurisdiction identified in Fluid Vertex’s applicable business agreement or legal business registration, without regard to conflict-of-law principles.
Any mandatory consumer rights under applicable law remain unaffected.
## 49. Disputes
Before beginning formal legal proceedings, both parties agree to make a reasonable effort to resolve disputes through direct communication.
Any dispute that cannot be resolved informally will be handled according to the applicable laws, jurisdiction, and dispute-resolution provisions governing the relationship between Fluid Vertex and the client.
